Independent Contractor Agreement

Effective Date: Upon electronic acknowledgment during registration

Parties

This Independent Contractor Agreement (“Agreement”) is entered into between MZ BlackCar LLC, a Tennessee limited liability company (“Company”), and the self-employed driver registering on the Company’s platform (“Contractor” or “Driver”).

1. Relationship of the Parties

• The Driver acknowledges and agrees that they are engaged as an independent contractor and not as an employee, partner, joint venture, agent, or representative of MZ BlackCar LLC.
• Nothing in this Agreement shall be interpreted to create any employment, partnership, or agency relationship.

2. Driver Responsibilities

• The driver shall provide professional chauffeur and black car transportation services using their own vehicle.
• The driver must:
  • Maintain a valid driver’s license
  • Hold current commercial insurance
  • Ensure vehicle is clean, well-maintained, and compliant with Company standards
  • Dress in professional attire
  • Be courteous and respectful toward all passengers

3. Vehicle and Insurance

• Driver shall use their own vehicle to perform services and is responsible for all gas, maintenance, repairs, and insurance costs.
• Driver must maintain commercial auto insurance with adequate liability coverage.

4. Compensation and Payment

• Compensation is based on the current per-ride or hourly rate structure published by MZ BlackCar LLC.
• The standard commission split is 70% to Driver / 30% to Company, unless otherwise agreed in writing.
• Drivers are paid regularly and are responsible for all personal tax obligations, including self-employment tax.

5. Independent Tax Obligations

• Drivers must report all earnings to the IRS and pay any related taxes.
• MZ BlackCar LLC will issue a Form 1099-NEC annually.

6. Prohibited Conduct

• Drivers may NOT:
  • Distribute their own business cards or promotional materials
  • Solicit or market competing services to MZ BlackCar passengers
  • Diversion of passengers to any competitor or personal venture
  • Accept direct bookings outside of the Company platform
• Violation of this clause may result in immediate termination and legal action.

7. Background Check and Documentation

• Driver agrees to provide and maintain:
  • Valid Driver’s License
  • Vehicle Registration
  • Commercial Insurance
  • Proof of Vehicle Inspection (if required)
• Failure to maintain current documents may lead to suspension or termination.

8. Term and Termination

• This Agreement remains in effect until terminated by either party.
• Either party may terminate at any time with or without cause by written notice.
• Upon termination, Driver must immediately stop using MZ BlackCar branding and platform.

9. Limitation of Liability

MZ BlackCar LLC shall not be liable for any accidents, injuries, or losses resulting from Driver’s operation of their vehicle. Driver assumes all associated risks and liabilities.

10. Confidentiality

Drivers may not disclose or misuse customer or company data, contact information, or trade secrets acquired during their engagement.

11. Governing Law

This Agreement shall be governed by the laws of the State of Tennessee without regard to conflict of law rules.

12. Acknowledgment and Acceptance

By clicking “I Agree” during registration, the Driver confirms they have read, understood, and agreed to all terms of this Independent Contractor Agreement.
